1. Digital Distribution Model

HappyNoL operates as a Digital Distributor. We facilitate the bridge between verified manufacturers and business/individual consumers.

• We do not manufacture the goods listed on our Platform.
• All product descriptions, technical data, and certificates are provided by the respective manufacturers.
• While we conduct thorough quality checks, HappyNoL is not liable for inherent manufacturing defects or patent/trademark disputes originating from the manufacturer.

2. Eligibility & Account Security

By using this Platform, you represent that you are at least 18 years of age. If you are registering a "Company Profile," you represent that you have the authority to bind that entity to these terms. You are responsible for maintaining the confidentiality of your account credentials and PINs.

3. Orders and Pricing

• Accuracy: We reserve the right to refuse or cancel any order if product information or pricing is incorrect due to typographical errors or manufacturer updates.
• Taxes: All prices are subject to GST as per Indian Tax Laws. Tax rates are applied based on the HSN code provided by the manufacturer.
• Finality: As stated in our Return Policy, all confirmed orders are considered final sales due to our distribution agreements.

4. Payments & Billing

We use secure third-party payment gateways. HappyNoL does not store your full credit card or bank details.

• Payment must be received in full before an order is moved to the "Confirmed" status.
• For bulk orders or B2B transactions involving bank transfers to our designated business accounts, orders will only be processed once the funds are cleared in our account.

5. Shipping & Logistics

HappyNoL acts as the fulfillment partner. We aim to dispatch orders within the timeline specified on the product page.

• Risk of Loss: The risk of loss and title for items pass to you upon our delivery to the carrier.
• Transit Damage: While we use high-grade packaging, HappyNoL is not responsible for delays or damages caused by third-party logistics companies.

6. Intellectual Property

All content on this Platform, including logos, design, code, and text, is the property of HappyNoL. The product images and brand names of manufacturers are used under distribution agreements and belong to their respective owners. You may not scrape, replicate, or use our data for commercial purposes without written consent.

7. Other Liabilities & Jurisdiction

Limitation of Liability

To the maximum extent permitted by law, HappyNoL shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising out of your use of the Platform or the products purchased through us.
